By using Upscale Ventures’ website or services, you agree to these Terms.

1. Services
Upscale Ventures provides e-commerce account management, marketplace support, catalogue management, advertising assistance and related services as agreed with the client.

2. No Sales Guarantee
We do not guarantee any specific sales, orders, profit, revenue, ranking, ROAS or marketplace performance. Results depend on multiple factors including products, pricing, competition, advertising, customer behaviour and marketplace policies.

3. Client Responsibility
The client is responsible for product quality, legality, licences, GST/taxes, inventory, pricing, product information, intellectual property and compliance with marketplace rules.

4. Third-Party Platforms
Upscale Ventures is not responsible for losses caused solely by marketplace policy changes, account suspension, technical issues, algorithm changes, logistics problems or actions of third-party platforms.

5. Limitation of Liability
To the maximum extent permitted by applicable law, Upscale Ventures shall not be liable for indirect or consequential losses, including loss of profit, business or opportunities. Where legally permissible, our total liability shall not exceed the service fees paid for the relevant services during the preceding three months.

6. Payments & Cancellation
Service fees must be paid as agreed. Fees for services already performed are generally non-refundable, subject to applicable law and the agreed service terms.

7. Confidentiality
Both parties agree to keep confidential business and account information secure and confidential.

8. Legal Compliance
The client agrees not to request unlawful, fraudulent or marketplace-policy-violating activities. Upscale Ventures may refuse such requests.

9. Governing Law
These Terms shall be governed by the laws of India. Subject to applicable law, disputes shall be subject to the appropriate courts in Jaipur, Rajasthan.

10. Acceptance
By engaging Upscale Ventures or using our services, you acknowledge that you have read and accepted these Terms.
